01Who we are, and what you're agreeing to
These Terms of Service ("Terms") are an agreement between you and [EESI legal entity name — TO CONFIRM WITH COUNSEL] ("EESI", "we", "us"). They govern the eesi.ai and platform.eesi.ai websites, the EESI APIs and SDKs, the EESI applications, and every service we provide through them (together, the "Service").
By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind it, and "you" means that organization. You must be at least 18 years old, or the age of majority where you live, to use the Service.
02The Service
EESI is a voice AI platform. It includes, as available on your plan:
- OpenAI-compatible speech APIs — text to speech, speech to text, and audio intelligence (diarized transcription);
- realtime speech-to-speech conversation;
- voice cloning from reference audio you provide;
- a platform for building and running conversational voice agents over WebRTC and telephony;
- consoles, SDKs, documentation, and supporting tools.
Model availability, session and concurrency limits, and prices are described on our pricing page and may differ by plan. We may add, change, or retire models and features as the platform evolves; where a change materially reduces what a paid plan includes, we will give you reasonable advance notice.
03Accounts and organizations
You are responsible for your account: keep your sign-in credentials and API keys confidential, and everything done with them is attributed to you until you tell us otherwise. Notify us promptly at founders@eesi.ai if you believe an account or key has been compromised.
Accounts can belong to organizations with multiple members. The organization is responsible for its members' use of the Service, and administrators control membership, keys, and billing for the organization.
04Credits, subscriptions, and billing
Usage of the Service is metered against a prepaid balance of credits. One credit equals US $0.01. You acquire credits by topping up any amount, or through a monthly subscription that grants credits each billing period.
- Credits roll over. Unused credits — purchased or granted by a subscription — remain on your balance while your account is open.
- Consumed usage is final. Credits spent on completed API calls, sessions, and minutes are not refundable.
- Subscriptions renew monthly until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and your plan's features remain available until then.
- Refunds. Subscription fees are otherwise non-refundable, except where mandatory statutory rights — such as consumer withdrawal rights in your jurisdiction — require a refund, in which case we honor them.
- Payments are processed by our payments partner, Stripe. Your card details go to Stripe directly and never touch EESI's systems.
- Price changes take effect at your next billing period, and we will notify you before they do.
05Acceptable use
The Service exists to make machines better at talking with people — not to help anyone deceive them. You must not use the Service to:
- Impersonate a real person without their consent — including presenting synthetic audio as a genuine recording of a person or an event;
- record or monitor conversations unlawfully. You are responsible for obtaining every consent and making every announcement that recording laws require wherever the participants in your conversations are located;
- break telephony law. If you place or receive calls through the Service, compliance with the laws that protect your call recipients — consent to be called, calling-hour rules, do-not-call registries, caller identification, and disclosure requirements under the TCPA and its equivalents elsewhere — is your responsibility, not EESI's;
- clone a voice you do not have the rights to. See section 06;
- generate or distribute illegal content, or use the Service for fraud, harassment, spam, or malware;
- probe, overload, or circumvent the Service's security or its limits, or resell the Service as your own without an agreement with us.
We may suspend or terminate access for violations. Where a violation is correctable and not causing harm, we will tell you first and give you a chance to fix it.
06Voice cloning and rights to a voice
Every cloned voice on EESI starts from reference audio you provide, and the Service requires you to attest that you hold the rights to that voice — it is your own, or its speaker has given you permission, or you otherwise hold the necessary rights. That attestation is a condition of the feature: making a false one is a material breach of these Terms, and we may remove a cloned voice and suspend the account that made it if we have reason to believe its attestation is false.
07Commercial use
On the Free plan, the Service and its output are for evaluation and personal, non-commercial use. Paid plans include the right to use audio you generate commercially, subject to these Terms and to your having the necessary rights in your inputs — text, prompts, reference audio, and voices.
08Your content
As between you and EESI, you own your content: the text and audio you send to the APIs, the reference clips you upload, the recordings and transcripts of your sessions, and the audio generated from your inputs. You grant EESI a limited license to host, process, and transmit that content solely to provide the Service to you, to keep the Service secure, to debug it, and to comply with law.
We do not train models on your content by default. Audio enters our training corpus only with explicit, recorded consent — see our Privacy Policy.
09Our intellectual property
EESI owns the Service: the models, software, APIs, documentation, design, and brand, and everything in them that isn't your content. These Terms give you no rights in the Service except the right to use it. You may not reverse engineer the Service or its models except where the law grants you that right regardless of this clause. If you send us feedback, we may use it without obligation to you.
10Synthetic audio, watermarking, and disclosure
Audio generated by the Service carries a watermark identifying it as AI-generated. You must not remove, obscure, or defeat that watermark.
Where the law requires disclosure that content is AI-generated or that a person is interacting with a machine — including the transparency obligations of Article 50 of the EU AI Act — that disclosure in your product, to your users and call recipients, is your obligation. The watermark supports it; it does not discharge it.
11Availability and beta features
We operate the Service with reasonable skill and care, but we do not promise it will be uninterrupted or error-free, and to the extent the law allows, the Service is provided "as is" and "as available". Features marked beta, preview, or experimental may change or be withdrawn without notice. Service-level commitments are available only under an enterprise agreement — talk to us.
12Liability
To the maximum extent permitted by law: neither party is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data; and EESI's total aggregate liability arising out of the Service is limited to the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or US $100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including liability for fraud, for willful misconduct, for death or personal injury caused by negligence, or your statutory rights as a consumer.
You will indemnify EESI against third-party claims arising from your content, your products built on the Service, or your breach of these Terms — including claims that a voice was cloned or a call was made without the consent the law required.
13Termination
You can stop using the Service and close your account at any time from your account settings. We may suspend or terminate your access if you materially breach these Terms, if your balance cannot cover your usage, or if we are required to by law. On termination your API access ends; where practical, we will give you a reasonable window to export your content before it is deleted under the schedule in our Privacy Policy. Sections that by their nature should survive — ownership, liability, governing law — survive.
14Changes to these Terms
We may update these Terms as the Service evolves. If a change is material, we will notify you by email or in the platform at least 14 days before it takes effect. If you don't agree to a change, cancel before it takes effect — your cancellation follows section 04. Continuing to use the Service after a change takes effect means you accept it.
15Governing law
These Terms are governed by the laws of [JURISDICTION — TO CONFIRM WITH COUNSEL], and disputes will be resolved in the courts of [VENUE — TO CONFIRM WITH COUNSEL] — except that if you are a consumer, you keep any protection and venue granted by the mandatory law of the place you live.
